Compliance and Indemnification Agreement
CLIENT assumes full responsibility for all outreach conducted to its leads, including but not limited to phone calls, text messages, and email communications. CLIENT represents and warrants that it will comply with the Telephone Consumer Protection Act (TCPA), the Controlling the Assault of Non-Solicited Pornography and Marketing Act (CAN-SPAM), and all other applicable federal, state, and local laws and regulations.
CLIENT agrees to indemnify, defend, and hold harmless COMPANY from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneysā€™ fees) arising out of or related to CLIENTā€™s outreach activities or breach of this provision.
In the event COMPANY incurs any claims, costs, or legal fees as a result of CLIENTā€™s actions under this Agreement, CLIENT shall be responsible for all such amounts. Additionally, the Real Estate Sales, LLC Agreement and Real Estate Sales, LLC Performance Guarantee may be immediately terminated at COMPANYā€™s discretion.
This indemnification obligation shall survive the termination or expiration of the Agreements.
